About the job General CounselWe are looking for a General Counsel for one of our client from the Energy sector to be based in Oman.Position Overview: The General Counsel is responsible for the company's legal, compliance & corporate governance matters - ensuring all company legal obligations are met, and for high-level advice on all matters crossing legal and commercially related areas. Also to ensure the company's functions operate to the highest level of integrity and in compliance with international and local laws.Responsibilities:
  • Provide expert and strategic legal advice to the management team.
  • Serve as secretary to the Board.
  • Ensure legal counsel remains relevant in line with Oman & International legislative changes.
  • Deliver high quality counsel in complex, significant matters that cut across legal and commercially sensitive related areas.
  • Represent the company on all legal matters with internal and external parties (e.g. external counsel, government etc.)
  • Developing/updating/improving/advising on governance, company policies, systems, processes & procedures.
  • Ensure legal risk management applied to all business and projects.
  • Evaluation of legal impacts on business decisions or course of action.
  • Identifying proactive solutions that will eliminate or mitigate business risk.
  • Champion of and advocate for company's ethics and integrity standards.
  • Drafting, reviewing, negotiating, amending, and advising on, managing all forms of contractual relationships, including (but not limited to) MOUs/LOIs, Shareholder Agreements, Development Agreements, Management Agreements, Sale & Purchase Agreements, and Consultancy Agreements.
  • Managing of local retained external legal counsel/advisors including fee negotiation, assessment of their legal performance, and coordination of legal issues they are handling.
  • Support, develop & appraise team performance (when applicable).
  • Performing other related duties or assignments as directed by the CEO.
Qualifications:
  • Law Degree from an accredited law school.
  • MBA and Accredited Legal Professional (ALP) certification preferable.
  • A minimum of 17 years of relevant specialized experience.
  • General exposure and experience in Oil and Gas industry is preferred.
  • Prior People Management experience.
  • High degree of professional ethics, integrity and gravitas.
  • Excellent judgement and analytical skills.
  • Excellent interpersonal and communication skills.
  • Experience as an in-house lawyer and/or in a law firm.
